  6. The undersigned a creditor of [COMPANY ("Company") hereby agrees
  7. to compromise the indebtedness due the undersigned creditor on the
  8. following terms and conditions:

  10. 1.    The Company and the undersigned agree that the present  debt

  13. 2.    The parties agree that the undersigned shall accept  the sum
  14. of $ XX as full payment on said debt and in  complete discharge of
  15. all monies due, provided the sum herein shall be promptly paid in
